PSI Chair - Board of Directors

Role Purpose 

The PSI Chair provides strategic leadership and ensures effective governance of PSI. 
The role oversees Board performance, leads key meetings, manages Board succession, and represents PSI to members and external organisations. 

Board Leadership & Governance 

  • Chair all PSI Board meetings.
  • Develop and circulate meeting agendas with PSI Admin. 
  • Engage with absent Board members regarding urgent items and follow‑up actions.
  • Approve significant financial transactions. 
  • Lead annual strategy planning and oversee development of the two‑year business 
    plan. 

Annual General Meeting (AGM) 

  • Ensure timely AGM notifications and oversee preparation of the Annual Report.
  • Prepare and finalise the AGM agenda with PSI Admin and the Board.
  • Manage motions, nominations, resolutions, and ballots per constitutional timelines.
  • Chair the AGM, confirm quorum, sign previous minutes, present governance changes, and announce election results.
  • Ensure post‑AGM updates to governance documents and accuracy of minutes. 

Board Succession & Development 

  • Confirm re‑election intentions of Directors and assess office changes (November).
  • Identify and encourage suitable candidates for Director and Chair roles (January).
  • Oversee handover of responsibilities post‑AGM (May).
  • Conduct onboarding at the first Board meeting of the new term (July).
  • Agree meeting dates and formats for the following year (December). 

External Representation 

  • Represent PSI at external events or appoint delegates. 
  • Open the Annual Conference and chair designated sessions. 
  • Provide regular membership updates, including quarterly posts to LinkedIn and PSI News. 
  • Present at the ITIT course annually. 

Partnership with PSI Administration 

  • Collaborate closely with PSI Admin to ensure operational effectiveness and support for the Board.
  • Promote efficient and high‑quality service delivery across PSI activities.

Time commitment: 

The Chair leads monthly Board meetings and may lead other meetings supporting key 
Board initiatives. Approx. 4hrs pw.
